Job Description
Equity Bank Kenya is seeking a highly qualified General Manager - Governance & Company Secretarial to oversee and manage the bank's corporate governance framework and secretarial functions. This role is pivotal in ensuring the organization remains compliant with legislative and regulatory changes while providing critical support to the Board of Directors.
Responsibilities
Regulatory Monitoring: Stay informed on legislative and regulatory changes affecting the company and provide regular updates to management on developments impacting operations.
Documentation and Compliance: Ensure meticulous record-keeping of Minutes and Resolutions. Maintain updated registers of directors and the secretary, ensure accurate filing of statutory declarations, and guarantee timely submission of regulatory reports.
Board Support: Organize and coordinate board meetings and annual general meetings (AGMs), including drafting agendas, timetables, and preparing the Annual Board Calendar and training plans.
Governance Review: Conduct regular reviews of governance documents to ensure they remain compliant and relevant.
Training & Development: Collaborate in planning and executing training programs for directors regarding corporate governance, duties, and responsibilities.
Legal & Advisory: Support the Company Secretary in providing legal, governance, accounting, and tax advice to the Board.
Requirements
Education: A bachelor’s degree in Law, Economics, or BCOM.
Professional Certification: Must have a professional certification in company secretarial and be an accredited governance auditor.
Experience: A minimum of 10 years’ relevant experience in Banking, Insurance, or Fintech.
Knowledge: In-depth understanding of the regulatory environment and guidelines affecting the financial services industry, with a focus on corporate governance and compliance.
Additional Qualifications: Professional certification in accounts (e.g., ACCA, CPA) is an added advantage.
