The Principal Counsel in the Banking Operations group holds a pivotal role in managing and executing the bank's financial investments. This position involves overseeing a variety of lending and equity transactions, including secured and unsecured operations as well as private and public equity investments across the EBRD’s operating regions. The role is essential for promoting sustainable, entrepreneurial economies through high-level policy dialogue and financial involvement.
Responsibilities
- Take principal responsibility for a number of EBRD's lending and equity transactions (including secured and unsecured lending operations and private and public equity investments) throughout EBRD’s operating region.
- Structure transactions, select and manage external law firms, draft and negotiate transaction documents.
- Assist with the full project lifecycle of investments, providing legal guidance from inception to completion.
- Contribute to the knowledge management activities of the Office of the General Counsel (OGC).
- Carry out EBRD's policy mandate in its lending and equity operations to ensure compliance with EBRD’s environmental and other policy requirements.
- Perform other relevant duties as required by business needs.
Qualifications and Experience
- A law degree from a university in his or her home country.
- Relevant experience in his/her area of responsibility gained in an international law firm, the in-house legal department of a top commercial/investment bank, or international organisation (including EBRD).
- Relevant professional experience as a lawyer working on English law governed financing agreements in one or more of the following fields:
- Cross-border banking transactions involving the taking of security;
- Cross-border structured finance transactions;
- Cross-border private equity investments;
- Equity funds transactions; and/or
- Capital markets transactions.
- Professional experience gained in the EBRD's operating region would be an asset.
- Excellent command of the English language, including excellent skills to draft and negotiate legal documents in English. A command of French is an advantage.
- Excellent negotiation and project management skills as well as excellent interpersonal and communication skills.
