We are looking for a Junior Legal Counsel who will take end-to-end responsibility for legal operations, including contract management, regulatory compliance, corporate governance, and product advisory.
Key Responsibilities
Contract Lifecycle & Coverage (~40%)
- Management: Handle intake, drafting, negotiation, execution, and repository management for various agreements including service, partner, vendor, data processing, and click-through terms. Aim for 100% coverage.
- Negotiation: Review and negotiate commercial agreements using approved templates, maintain the clause library, and track document versions.
- Protection: Ensure balanced reciprocal protections regarding liability caps, indemnities, confidentiality, and termination.
- Monitoring: Log executed contracts, track expirations and renewals, and report monthly coverage metrics.
Compliance & Data Protection (~25%)
- Data Protection: Execute Data Processing Agreements (DPAs) with processors and controllers. Maintain consent logs and ensure release forms are stored.
- Tracking: Administer the compliance tracker for licenses and statutory filings, including license renewals, ODPC registration, and annual returns.
- Research: Conduct research on licensing requirements in new jurisdictions and summarize obligations.
- Training: Draft brief guides and training materials on privacy-by-design and marketing regulations for internal teams.
Governance & Corporate Secretariat (~15%)
- Meetings: Prepare notices and agendas at least seven days before board and shareholder meetings; draft accurate minutes capturing decisions and action items within five business days.
- Records: Maintain statutory registers, beneficial ownership filings, cap table, and ESOP documentation.
- Due Diligence: Support due diligence by assembling data room materials.
Product & Commercial Advisory (~10%)
- Ideation & Build: Provide legal input at early development stages, focusing on regulatory hypotheses, data flows, and consent mechanisms.
- Pre-launch: Ensure products align with the approved legal framework, incorporating necessary disclosures and consumer protections into the user experience.
Dispute & Risk Management (~10%)
- Disputes: Conduct initial fact-gathering and preserve evidence for potential breaches or disputes to stop further exposure.
- Counsel Coordination: Interface with external counsel under the Legal Manager’s direction and coordinate document exchange.
- Risk Identification: Monitor regulatory developments, log risks under the Enterprise Risk Management (ERM) framework, and recommend mitigations.
Candidate Profile
Education
- Bachelor of Laws (LLB) degree from a recognized university with a First or Second Class Upper Division.
- Demonstrated interest in technology, commerce, or education through elective courses, research papers, moot competitions, or projects.
- Additional courses in data protection, fintech, or intellectual property are advantageous but not mandatory.
Experience & Skills
- 0–2 years’ experience through internships or entry-level roles in corporate/commercial practice or an in-house legal department.
- Exposure to drafting contracts, legal research, and regulatory filings.
- Proven ability to lead a legal or regulatory project from start to finish (e.g., registering a company or filing a trademark).
- History of leadership or initiative in university associations or moot court.
