Human Asset Consultants Ltd is seeking a highly qualified professional for the role of Company Secretary & Director, Legal Services. This is a dual-function senior leadership position responsible for providing efficient, professional, and informed Board secretariat services and corporate governance support. The role also involves managing the legal department to ensure compliance with all legal and statutory requirements and overseeing the resolution of cases and disputes.
Key Responsibilities
Company Secretarial Services:
- Provide guidance to the Board on their duties, responsibilities, and matters of governance.
- Support the Board in carrying out induction and training, updating Board and committee charters, and preparing work plans.
- Manage Board evaluations, governance audits, and the implementation of the code of conduct and ethics.
- Ensure timely preparation and circulation of Board and committee papers and minutes.
- Act as the custodian of the company seal and account to the Board for its use.
- Maintain and update the register of conflicts of interest.
- Ensure Board members are informed of all relevant laws affecting the organization.
- Facilitate effective communication between the organization and its shareholders.
- Ensure annual returns and statutory notices are promptly filed with relevant authorities.
- Convening and attending meetings of the Board of Directors and its Committees in consultation with the Managing Director.
- Preparing for and attending all annual and extraordinary general meetings of the Company.
Legal Services:
- Attend to disputes involving the Company and manage court cases to ensure compliance with decisions and adequate representation.
- Handle contractual matters, including the preparation and review of contracts, memoranda of understanding, deeds, leases, and other legal documents.
- Provide legal advisory services by researching relevant statutes, rulings, and precedents.
- Offer legal advice to ensure compliance with regulatory requirements regarding business operations.
- Review and formulate legal policies, procedures, and regulations.
- Monitor recent legislation and court cases to identify matters requiring management action.
Requirements
Education and Professional Qualifications:
- Master’s Degree in Law (LLM).
- Bachelor’s Degree in Laws (LLB).
- Post Graduate Diploma in Law from the Kenya School of Law.
- Advocate of the High Court of Kenya with a valid current Practicing Certificate.
- Member of the Law Society of Kenya (LSK) in good standing with a valid Certificate of Good Standing.
- Registered CPS (K) member of the Institute of Certified Secretaries (ICS) of Kenya in good standing.
- Certificate in Strategic Leadership Development Program from the Kenya School of Government or its equivalent.
Work Experience:
- A minimum of ten (10) years’ professional experience.
- At least five (5) years of experience in senior management.
- At least five (5) years’ experience as a Certified Public Secretary.
- Proven experience in Public Sector Management.
