About the Role
The Manager Legal Services is responsible for overseeing the legal and corporate affairs of the North Rift Valley Water Works Development Agency (NRVWWDA). The primary purpose of this role is to provide legal counsel to the Board, ensure statutory compliance with Kenyan and international laws, and manage the agency's legal risks and litigation matters. The manager serves as the secretariat to the Board, maintains official records, and oversees the implementation of corporate governance standards such as the Mwongozo Code of Conduct.
Key Responsibilities
- Ensuring the Institution is compliant with international instruments related to water and sanitation affairs.
- Arranging the business of Board meetings, keeping records of proceedings, and performing other duties as directed by the Board.
- Providing advice on legal and corporate matters to the Board through interpretation and writing legal opinions.
- Providing secretariat services to the Board.
- Developing and reviewing relevant regulatory Legal frameworks for the better implementation of the Institution’s mandate.
- Coordinating and ensuring representation of the Institution in courts or other judicial authorities.
- Drafting and reviewing Leases, Contracts, Licensing Frameworks, Service Level Agreements, MoUs, and other legal documents to ensure compliance.
- Liaising with the Attorney General, law enforcement agencies, and stakeholders on all legal matters.
- Ensuring Legal Audit Compliance is carried out to confirm compliance with relevant statutory requirements.
- Overseeing the implementation of the Mwongozo Code of Conduct.
- Facilitating the gazettement of Rules, Regulations, and directives.
- Establishing and managing the Institution Securities Register for custody and maintenance of securities and proprietary instruments.
- Providing legal guidance on contractual and statutory obligations binding to the Institution.
- Providing and interpreting legal information and conducting training for staff on legal requirements.
- Safeguarding the Institution's interests and ensuring they are adequately defended before the courts.
- Managing, reviewing, and monitoring progress of all outstanding litigation.
- Ensuring documentation and maintenance of records on all enforcement and compliance assignments.
- Establishing and managing the Institution's Alternative Dispute Resolution Mechanism.
- Managing risks regarding internal legal and regulatory matters.
- Conducting Legal Due Diligence on all prospective partners, lessees, or third parties.
- Establishing and managing the Lease Register and Licenses Register.
Qualifications and Experience
- A minimum of ten (10) years relevant work experience, with at least five (5) years in a supervisory position.
- Bachelor of Laws (LLB) degree from a recognized institution.
- Master’s Degree in Law (LLM) or equivalent qualifications from a recognized institution.
- Postgraduate Diploma in Law from the Kenya School of Law.
- Admitted as an Advocate of the High Court of Kenya.
- Possession of a valid practicing certificate.
- Current member of the Law Society of Kenya (LSK).
- Completion of a management course lasting not less than four (4) weeks from a recognized institution.
- Proficiency in computer applications.
- Must fulfill the requirements of Chapter Six of the Constitution of Kenya 2010.
