The Director, Legal and Board Services is responsible to the Director General for providing strategic leadership and direction in the implementation and management of the Legal and Board Services.### Duties and Responsibilities#### Board Services* Providing professional Board Secretariat services to the Secretary of the Board.* Ensuring the development and implementation of Governance structures in the organization.* In liaison with the Chief Executive Officer, preparation of Board papers and arranging for Board meetings.* Taking minutes during Board and Board Committee meetings.* Ensuring proper communication and implementation of the Board resolutions by Management.* In charge of the development and implementation of the Capacity building programmes for the Board of Directors to ensure that they have what it takes to steer the organization to the right direction.* Custodian of important Company documents, the Company seal and register.* Development and implementation of the Board manual, Terms of Reference and the Code of Ethics for both the Board of Directors and Board Committees.* Development and implementation of an annual Board Schedule.* Keeping the Board informed of all new developments.* Facilitating annual Board evaluation.* Custody of important Authority documents and seal register.#### Legal Services* Ensuring that the Authority meets all statutory obligations.* Ensuring the Authority complies with the provision of all relevant legislative instruments among other legal provisions of the Authority.* Provide recommendations and legal advice to the Authority.* Liaise with external counsel for representation of the Authority on legal matters.* Represent the Authority in various litigation.* Develop preventive legal strategies aimed at forestalling disputes, controversies and litigation.* Provide legal support to the draw up of legal documents, contracts, leases and other related documents.### Job SpecificationsFor appointment to this grade, an officer must possess the following qualifications and experience:* Cumulative period of fifteen (15) years relevant work experience, five (5) of which must have been in the grade of Assistant Director, Legal Services, and above, or in a comparable position.* Bachelor of Laws Degree (LLB) from a University recognized in Kenya.* Master of Laws Degree (LLM) or any other relevant qualification from a recognized institution.* Postgraduate Diploma in Law from the Kenya School of Law (KSL).* An Advocate of the High Court of Kenya.* Valid Advocates Practicing Certificate.* Membership to the Institute of Certified Secretaries of Kenya and in good standing.* Certificate in leadership course lasting not less than four (4) weeks from a recognized institution.* Proficiency in computer applications.* Demonstrated merit and ability as reflected in work performance and results.
