The Board Management and Legal Services office is responsible for providing Board Secretarial and related services to the Board of Directors, offering advice to the Board and management, and ensuring effective and efficient management of contracts, agreements, Memoranda of Understanding (MoUs), and compliance with policy, legal, and regulatory frameworks.
Key Responsibilities
Assisting the Chief Executive Officer in providing secretariat services to the Board.
Providing Guidance to the Board on their roles, responsibilities, and governance matters.
Assisting the Board in carrying out Board induction, training, updating Board/Committee Charters, work plans, evaluations, governance audits, and implementing the Code of Conduct and Ethics.
Ensuring timely preparation and circulation of Board and Committee papers and minutes.
Acting as the custodian of the organization's Seal and accounting to the Board for its use.
Maintaining and updating the register for conflict of interest.
Ensuring Board Members are aware of all relevant laws affecting the organization.
Ensuring annual returns are promptly filed with relevant authorities.
Arranging Board meetings, keeping records of proceedings, and performing other directed duties.
Providing legal and corporate advice to the Board through interpretation and writing legal opinions.
Coordinating and ensuring representation of the Authority in courts or other judicial authorities.
Drafting and reviewing leases, contracts, licensing frameworks, Service Level Agreements (SLAs), Memoranda of Understanding (MoUs), and other legal documents.
Liaising with the Attorney General, law enforcement agencies, and stakeholders on legal matters.
Ensuring Legal Audit Compliance is conducted to confirm compliance with statutory requirements.
Overseeing the implementation of Mwongozo and the Code of Conduct at the Authority.
Formulating, drafting, and facilitating gazettement of declared and suspended facilities, rules, regulations, and directives.
Participating in the formulation and development of the Authority's Strategic Plan.
Providing technical leadership and strategic direction in legal services.
Protecting the Authority's rights, privileges, and intellectual property interests.
Qualifications, Skills and Experience
Holds a Bachelor's degree in Law (LLB) from a university recognized in Kenya.
Is an Advocate of the High Court of Kenya.
Has at least five (5) years of experience as a Corporation Secretary or in a similar governance role.
Is a member in good standing of the Institute of Certified Public Secretaries of Kenya (ICPSK).
Holds membership in the Law Society of Kenya (LSK).
Proficiency in computer applications.
Meets the requirements of Chapter Six of the Constitution of Kenya.
